Paramount and Warner Bros. Discovery Complete $111 Billion Merger
Paramount Skydance successfully completed its $111 billion merger with Warner Bros. Discovery, overcoming a last-minute attempt to block the deal by Supreme Court Justice Elena Kagan.
The newly merged company, now named Skydance, brings together two major movie studios along with streaming services Paramount+ and HBO Max, as well as CBS, CNN, a range of live sports channels including CBS Sports and TNT Sports, and a vast programming library filled with popular brands and franchises.
Initially delayed by lawsuits from California and 11 other states, the merger faced challenges regarding reduced competition and potential antitrust violations. However, after California settled the lawsuit and other states followed suit, U.S. District Judge Araceli Martinez Holguin approved the settlement, stating that it provides a reasonable resolution to the dispute.
The settlement addresses concerns about film distribution and basic cable channel licensing, ensuring minimum standards for film investments and releases, as well as continued negotiations for basic cable holdings distribution. Despite objections from some parties, the judge emphasized that the settlement represents a compromise that avoids prolonged litigation through the courts.
